Terms of Service

1. Acceptance of Terms

By accessing or using the recess.legal platform (the “Service”) operated by Recess Legal, Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

recess.legal is an AI-powered legal assistant platform designed for personal injury law firms. The Service provides:

  • AI-assisted document review and medical chronology generation
  • Citation-accurate document search
  • Legal document drafting assistance
  • Integration with third-party tools (calendar, email, case management)
  • Per-user isolated AI agent environments

The Service is a tool to assist licensed attorneys and their staff. It does not provide legal advice, and its output does not constitute legal counsel. All AI-generated work product must be reviewed, verified, and approved by a licensed attorney before use in any legal proceeding.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Upload malicious files, malware, or attempt to breach security controls
  • Attempt to access other users' data or agent environments
  • Reverse-engineer, decompile, or disassemble the Service
  • Use the Service to generate fraudulent or misleading legal documents
  • Resell or redistribute the Service without authorization
  • Circumvent usage limits, rate limiting, or other technical controls

5. Data Ownership

5.1 Your Data

You retain all ownership rights to the documents, case data, and other content you upload to the Service (“Your Content”). We do not claim any ownership interest in Your Content.

5.2 AI-Generated Output

Work product generated by your AI agent (chronologies, draft letters, search results) is yours. We claim no ownership over AI-generated output created using your data and instructions.

5.3 No Training on Your Data

We do not use Your Content or AI-generated output to train any language model, whether ours or any third party's.

6. Payment Terms

  • Subscription fees are billed monthly in advance.
  • All fees are non-refundable except as required by law.
  • We may change pricing with 30 days' notice.
  • Usage beyond plan limits may incur additional charges at published overage rates.
  • Free trial accounts convert to paid subscriptions unless canceled before the trial period ends.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, and improvements that temporarily affect availability. We will provide reasonable notice for planned downtime.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
  • WE DO NOT WARRANT THAT AI-GENERATED OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You are solely responsible for reviewing and verifying all AI-generated work product before use.

9. Indemnification

You agree to indemnify and hold harmless Recess Legal, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

  • You may cancel your subscription and delete your account at any time.
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your data will be handled according to our Privacy Policy, including destruction of your AI agent container and workspace.

11. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Recess Legal, Inc. and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
